Whenever you start a company, or invest in one, it is very important that you form and understand a Shareholders Agreement. Without one, it may be very difficult to successfully argue your position during a legal dispute. Your Shareholder Agreement needs to include very clear and precise information about you, other shareholders, and the shares themselves. What happens when you want to sell your shares? What happens if you have an accident and can no longer fulfil your duties under the agreement? These and many more are questions you need to address in your agreement, for which you will need legal advice.
As a company director, you have a special role and responsibilities in law. These include: Using your skills, experience and judgement to help make the company a success Following the rules of the company, that should be documented in the company's "articles of association" You should make decisions that are for the benefit of the company, and not for yourself You should declare to other shareholders that you may personall benefit from a company decision or transaction You must keep accurate records and report them to Companies House and HM Revenue and Customs (HMRC) You should ensure that the company's accounts are a "true and fair view" of the financial situation of the company You should register for Self Assessment and send the appropriate Self Assessment tax return each year If you are in any doubt as to how these apply to you, or if you have been affected by any of these, you could benefit from legal advice.
